Terms of Service

1.What you're buying

When you purchase Sterling, you receive a license to install and use the Sterling software on your personal computer(s). You do not own the software itself — you own a license to use it. The Sterling software, brand, source code, models, and related materials remain the property of Arch Capital.

Depending on the tier you purchase:

• •Subscription tiers (Lite, Standard, Pro, Elite): monthly access to Sterling for as long as your subscription is active. Cancel anytime.
• •Forever tiers (Standard, Pro, Elite): one-time purchase granting you permanent access to the version of Sterling you bought, plus any maintenance updates Arch Capital chooses to release.
• •Sterling Cloud: monthly subscription to Sterling hosted on Arch Capital servers. Capacity is limited and managed by waitlist.
• •Enterprise: custom terms negotiated separately.

2. Device limits

Each Sterling license may be active on a limited number of devices at once, as specified on your tier's purchase page. You can deauthorize a device and activate it on another through your account dashboard at mysterling.ai/account.

3. Refund policy

We offer a 14-day, no-questions-asked refund from the date of purchase on all Sterling licenses. To request a refund, email [email protected] with your account email. Refunds are processed within 5 business days.

After the 14-day window, refunds may still be issued at Arch Capital's discretion for genuine technical issues that we cannot resolve.

4. Permitted use

You may:

• •Install Sterling on your personal computer(s) up to your device limit
• •Use Sterling for any personal or professional purpose
• •Inspect Sterling's network activity, file access, and behavior
• •Modify Sterling's local configuration, prompts, and preferences

5. Prohibited use

You may not:

• •Redistribute, resell, sublicense, or share the Sterling installer or your license credentials with anyone
• •Reverse engineer, decompile, or extract the Sterling model weights, except to the extent explicitly permitted by Canadian copyright law
• •Use Sterling to generate or process content that is illegal under Canadian law
• •Use Sterling to impersonate, harass, stalk, or harm any person
• •Use Sterling as part of any service that resells Sterling's capabilities to third parties without a separate commercial agreement with Arch Capital

Violation of these terms results in immediate license termination without refund.

6. AI-generated content disclaimer

Sterling uses large language models to generate text, speech, and other output. AI-generated content can be incorrect, misleading, or inappropriate. You are responsible for reviewing Sterling's output before acting on it.

Arch Capital does not guarantee that Sterling's output will be accurate, complete, up to date, safe, legal, or suitable for any particular purpose. Do not rely on Sterling for medical, legal, financial, or safety-critical decisions. Sterling is a tool to assist you, not a replacement for professional judgment.

7. Warranty and liability

Sterling is provided "as is" without warranty of any kind. To the maximum extent permitted by Canadian law, Arch Capital's total liability for any claim arising from your use of Sterling is limited to the amount you paid for your current license period.

Arch Capital is not liable for indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost data, or business interruption.

8. Termination

You may terminate this agreement at any time by uninstalling Sterling and deleting your account.

Arch Capital may terminate your license if you violate these terms, with notice by email. On termination, your license becomes invalid and Sterling will stop functioning.

9. Changes to these terms

Arch Capital may update these terms. Material changes will be emailed to all account holders at least 14 days before taking effect. Continued use of Sterling after the effective date constitutes acceptance. If you do not accept updated terms, you may request a prorated refund.

10. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute will be resolved in the courts of Ontario.
