End User License Agreement

1. Parties

This End User License Agreement ("EULA") is between you (the "Licensee") and Arch Capital Inc. ("Licensor," "we," "us"), an Ontario, Canada corporation that develops and sells Sterling.

2. Grant of license

Upon purchase, Licensor grants Licensee a non-exclusive, non-transferable (except as described in Section 3) license to install and use Sterling on up to three (3) computers simultaneously. Typical household use — a main desktop, a laptop, and a family member's machine — is covered by this grant.

3. License transfer

If you replace a computer or stop using Sterling on one of your machines, you may deactivate that install (Settings → Deactivate) and activate on a new machine. The total count of simultaneously active installations must not exceed three.

4. What you may do

  • Install Sterling on up to 3 of your own machines
  • Run Sterling for personal, family, or small-business use
  • Customize Sterling's settings, routines, and local data
  • Export your local data (%USERPROFILE%\.sterling\) at any time

5. What you may not do

  • Distribute, resell, sublicense, or rent Sterling to third parties
  • Reverse-engineer, decompile, or disassemble Sterling's binaries, except to the extent permitted by Canadian law (including the Copyright Act, R.S.C. 1985, c. C-42, sections 30.6 and 30.61)
  • Remove or alter any proprietary, copyright, or trademark notices in Sterling
  • Use Sterling to violate any law or to harm others

6. Ownership

Sterling and all associated intellectual property — code, branding, design, trademarks — remain the property of Arch Capital Inc. This EULA grants a license to use Sterling, not ownership of it.

7. Third-party components

Sterling includes open-source components used under their respective licenses (MIT, Apache 2.0, and similar permissive licenses). These are acknowledged in the Sterling installation directory (see the NOTICES file). Your use of Sterling is additionally subject to those component licenses.

8. Updates

Your purchase includes one year of free updates. After one year, updates are available via a voluntary repurchase at $20 CAD per year — never an automatic subscription. Sterling continues to work even if you don't repurchase updates.

9. Warranty disclaimer

Sterling is provided "as is." To the maximum extent permitted by law, Arch Capital Inc. disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Nothing in this section excludes or limits any warranty, condition, right, or remedy that cannot by law be excluded or limited under applicable consumer-protection legislation.

10. Limitation of liability

To the maximum extent permitted by law, Arch Capital Inc.'s total liability for any claim arising from your purchase or use of Sterling is limited to the amount you paid for the license. Arch Capital Inc. is not liable for indirect, incidental, or consequential damages. These limitations do not apply to liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

11. Termination

This license terminates automatically if you breach these terms. Upon termination, you must uninstall Sterling from all machines. Sections 6, 7, 9, 10, and 12 survive termination.

12. Governing law

This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes will be resolved in courts located in Ontario, subject to any mandatory consumer-protection rule in your province of residence.
